Terms of Service
Please read these before using DuePrompt. They're written in plain English.

1. Overview
DuePrompt ("we", "us", "the service") is an automated invoice reminder and follow-up service operated from New Zealand. By creating an account and using DuePrompt, you agree to these Terms of Service.
If you don't agree with these terms, please don't use the service.
2. What DuePrompt Does
DuePrompt sends automated reminder emails to your clients on your behalf when invoices are outstanding. You set the rules — which invoices to track, when reminders go out, and when to pause or stop.
We are the technical mechanism. You remain responsible for your client relationships, the accuracy of your invoices, and your communications.
3. Who Can Use DuePrompt
You must be at least 18 years old and using DuePrompt for a legitimate business purpose. By creating an account, you confirm both. DuePrompt is available to businesses globally. New Zealand law governs these terms regardless of where you're based.
4. Your Account
Access is via magic link — we email you a secure sign-in link, no password required. You're responsible for keeping your email account secure. Don't share access to your DuePrompt account with people you haven't authorised.
If you believe your account has been accessed without your permission, contact us at support@dueprompt.com immediately.
5. Subscriptions and Billing
DuePrompt offers four tiers:
- Free — $0/month, up to 3 active invoices
- Starter — $15/month, up to 25 active invoices
- Pro — $39/month, up to 200 active invoices
- Business — $79/month, unlimited invoices
Paid plans are billed monthly in advance. By subscribing, you authorise recurring charges to your payment method via Stripe. All prices are in USD.
Your subscription continues until you cancel. Cancellation takes effect at the end of the current billing period — you keep full access until then.
6. Acceptable Use
DuePrompt is for legitimate invoice follow-ups. You agree not to use it to:
- Send unsolicited bulk email or spam
- Contact people who haven't done business with you
- Harass, threaten, or intimidate anyone
- Impersonate another business or individual
- Violate any applicable laws or regulations
We reserve the right to suspend or terminate accounts that violate this policy, with or without prior notice.
7. Content You Provide
You're responsible for the accuracy of the data you enter — client names, email addresses, invoice amounts, and due dates. DuePrompt sends emails on your behalf, so make sure the underlying invoices are genuine and the recipients have a legitimate business relationship with you.
8. Your Data
You own your data. We process it only to deliver the service. For full details on what we collect and how we use it, see our Privacy Policy.
9. Third-Party Services
DuePrompt relies on the following providers to operate:
- Stripe — payment processing
- Resend — email delivery
- Vercel — hosting and infrastructure
- Upstash Redis — rate limiting and caching
Each provider has their own terms and privacy policies. We're not responsible for outages, errors, or issues caused by third-party services.
10. Service Availability
We aim to keep DuePrompt available at all times but don't guarantee 100% uptime. Scheduled maintenance, unexpected outages, or issues with third-party infrastructure may occasionally cause interruptions. We'll communicate significant outages via email where possible.
11. Intellectual Property
DuePrompt, its design, code, and content are owned by us. You're granted a limited, non-exclusive licence to use the service for your business purposes. No ownership rights are transferred to you.
12. Limitation of Liability
To the maximum extent permitted by New Zealand law, DuePrompt is not liable for:
- Indirect, incidental, or consequential damages
- Loss of revenue or profits from failed email delivery
- Actions taken or not taken by your clients
- Third-party service outages or failures
Our total liability is limited to the amount you paid us in the 3 months prior to the event giving rise to the claim.
13. Termination
You can delete your account at any time from Settings. We may suspend or terminate access if you violate these terms, provide false information, or engage in activity that harms other users or the service. Termination doesn't automatically trigger a refund unless you're within our refund window — see our Refund Policy.
14. Changes to These Terms
We may update these terms from time to time. We'll notify you by email for any material changes. Continued use of DuePrompt after changes constitutes acceptance. If you don't agree with updated terms, you can cancel your account.
15. Governing Law
These terms are governed by the laws of New Zealand. Any disputes will be handled in the courts of New Zealand.
